OVERVIEW

Welcome to I Like You Like Me ("ILYLM," "we," "us," or "our"). ILYLM operates the website ilikeyoulikeme.com (the "Site") and provides a fractional management and matchmaking platform that:

Enables vetted professional content creators ("Creator Users") to join our roster via free lifetime activation and receive brand partnership opportunities;
Provides brands and authorized marketing agencies ("Brand Users") with weekly curated access to those creators via paid memberships;
Provides brands and authorized marketing agencies with limited free weekly email access ("Free Tier") as described in Section 5A; and
Sells merchandise.

These services are collectively the "Services."

These Terms of Service ("Terms") form a legally binding agreement between you and ILYLM. By accessing the Site, purchasing merchandise, applying for Creator membership, subscribing to a Brand membership, signing up for the Free Tier, or using any matchmaking features, you agree to these Terms and our Privacy Policy.

Key Principle: ILYLM is a matchmaking service only. Our role ends upon delivery of the weekly Monday Drop email. Any subsequent collaboration is a direct relationship between Creator Users and Brand Users. The ILYLM Standardized Deal Protocol in Section 6 (the "Protocol") is the default binding agreement—it applies automatically upon a Brand/Agency contacting a Creator unless both parties explicitly execute a separate written agreement modifying terms for that specific deal. ILYLM is not a party to any Creator-Brand agreement (default or customized).

SECTION 1 – GENERAL PROVISIONS (ALL USERS)

1.1 Eligibility. You must be at least the age of majority in your jurisdiction. If acting on behalf of an entity (e.g., brand or agency), you warrant authority to bind it.

1.2 Account Security. You are responsible for your account credentials and all activity under it. Account sharing is prohibited; we may terminate shared accounts without refund.

1.3 Prohibited Uses. You may not use the Services to infringe IP, harass, scrape/redistribute proprietary data (including Monday Drops as a standalone product), or systematically undercut the Protocol's core structure.

1.4 Changes to Terms. We may update these Terms. Material changes (e.g., to the Protocol) will be notified via email. Continued use constitutes acceptance.

1.5 Governing Law & Dispute Resolution. These Terms are governed by Idaho law (without regard to conflict principles).

Arbitration & Class Waiver (Disputes with ILYLM Only): Any dispute arising from these Terms or the Services (excluding disputes between Creator Users and Brand Users, which are direct) shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Kootenai County, Idaho (or virtually if agreed). You waive the right to trial by jury or to participate in a class action. Small claims court is an alternative for individual claims under $10,000.

SECTION 2 – THE SERVICE MODEL & THE HAND-OFF

2.1 ILYLM's Limited Role. ILYLM's role is strictly limited to: (1) Vetting creators; (2) Providing a default standardized Protocol to streamline deals; and (3) Delivering curated introductions via weekly Monday Drop emails.

2.2 The Hand-Off. ILYLM's involvement ends immediately upon sending each Monday Drop email. At that point:

Brand/Agency Users (paid and Free Tier) are solely responsible for reviewing the Drop, initiating contact using provided methods, and pursuing opportunities.
Creator Users are solely responsible for monitoring their channels and responding (or not).
All subsequent actions—including outreach, negotiations (default or custom), production, payments, deliverables, and disputes—occur directly between the parties, completely outside the ILYLM platform.

ILYLM does not monitor, facilitate, or intervene post-Drop.

2.3 No Payment Involvement. ILYLM does not process, facilitate, escrow, or guarantee payments. Payments are direct via mutually agreed methods. ILYLM has no access to, or control over, transactions.

SECTION 3 – MERCHANDISE PURCHASES

Prices exclude taxes/shipping (subject to change).
We may refuse/cancel orders.
Title/risk passes upon carrier transfer; we are not liable for delays.
Returns per our Refund Policy.

SECTION 4 – CREATOR USERS (FREE LIFETIME ACTIVATION)

Membership for creators is provided via free lifetime activation. By applying for membership:

4.1 Vetting & Approval.

Manual Review: Application triggers a 48-hour manual vetting process.
Quality Standards: We screen for commercial-grade quality and utilize third-party tools (e.g., Modash) to verify authentic followers and identify AI-generated content.
Approval: If approved, you will be featured in the very next Monday Drop and promoted directly to paying DTC brands. If rejected, you will receive a personalized profile audit report with actionable feedback.

4.2 Default Agreement to Protocol. You agree that any partnership resulting from a Monday Drop defaults to the Protocol (Section 6), but you may mutually negotiate custom terms in writing with the Brand/Agency.

4.3 Your Rights & Protections.

Full Autonomy: You retain full autonomy to accept, reject, or customize inquiries from brands.
Payment Before Production: Do not begin production until the upfront production fee is satisfied.
Resources: You receive immediate access to the Professional Master Playbook and communication scripts upon joining.
100% Fees: You keep 100% of every upfront fee and performance royalty; ILYLM takes 0% commission.
Non-Payment Reporting: Immediately notify support@ilikeyoulikeme.com with evidence if a Brand/Agency fails to honor agreed terms.

SECTION 5A – FREE TIER BRAND ACCESS

ILYLM offers a no-cost, limited email subscription ("Free Tier") to brands and marketing professionals. The Free Tier is separate from the paid Matchmaker Membership described in Section 5B.

5A.1 What the Free Tier Includes. Free Tier subscribers receive a weekly Monday Drop email containing limited creator information (niche, performance stats, and one unredacted "Spotlight" profile per week). Full creator handles and contact information for remaining creators are redacted and available only to paid Matchmaker Members (Section 5B).

5A.2 Consent & Email Communication. By submitting your email address to join the Free Tier, you expressly consent to receive the Monday Drop and related service communications from ILYLM at the email address provided. You may unsubscribe at any time via the unsubscribe link in any email. ILYLM will not sell your email address to third parties. Your email and brand information may be used by ILYLM for internal analytics and service improvement in accordance with our Privacy Policy.

5A.3 Agreement to Protocol. Free Tier subscribers agree that any partnership initiated with a Creator User discovered through the Monday Drop—including via the unredacted Spotlight profile—defaults to the Protocol (Section 6), unless both parties explicitly execute a separate written agreement modifying terms for that specific deal. This Protocol obligation applies regardless of whether the brand subsequently upgrades to a paid membership.

5A.4 Prohibition on Circumvention. Free Tier subscribers may not systematically undercut the Protocol's core structure (e.g., routine refusal of standard upfront fees or royalties) in dealings with Creator Users discovered through the Monday Drop. Violation may result in removal from the Free Tier and prohibition from future access to any ILYLM service.

5A.5 No Guarantees. The Free Tier is provided "as is" and may be modified, limited, or discontinued at any time without notice or liability. ILYLM makes no guarantee regarding email delivery, creator availability, response rates, or the frequency of Spotlight profiles.

5A.6 Data Use. By signing up for the Free Tier, you agree to our Privacy Policy. Brand name, niche, and email address collected at signup may be used to personalize Drop content and improve the service. This data is not sold to third parties.

5A.7 Upgrade. Free Tier subscribers may upgrade to the paid Matchmaker Membership (Section 5B) at any time to receive full unredacted access to all creator handles and contact information in each Monday Drop.

SECTION 5B – BRAND & AGENCY USERS (MATCHMAKER MEMBERSHIP)

By purchasing the paid Matchmaker Membership (current pricing available on the Site):

5B.1 Subscription Terms.

Monthly: Auto-renews; cancel anytime (access until period end). Cancellation ends future billing but does not affect creator partnership agreements already initiated, which remain governed by the Protocol independently of your membership status.
Annual: Non-refundable; full 12-month access.
Weekly Monday Drops via email, delivered at 9:00 AM on Mondays with full unredacted creator handles and contact information.

5B.2 Subscription vs. Creator Partnership Terms – Important Distinction. Your Matchmaker Membership subscription is a month-to-month service agreement with ILYLM and is entirely separate from any creator partnership you initiate through the Monday Drop. Once you contact a creator and a collaboration begins, that specific partnership is governed by the Protocol (Section 6) independently. The 6-Month Minimum Usage Lock described in Section 6.3 applies to individual creator partnerships only—it is not a lock on your ILYLM subscription. You may cancel your subscription at any time while any active creator partnerships continue under their own terms.

5B.3 Default Agreement to Protocol. You agree that any partnership resulting from a Monday Drop defaults to the Protocol (Section 6), but you may mutually negotiate custom terms in writing with the Creator.

5B.4 Prohibition on Circumvention. You may not systematically undercut the Protocol's core structure (e.g., routine refusal of standard upfront fees or royalties). Violation is material breach, resulting in immediate termination without refund.

5B.5 Data Use, Resale Restrictions & Agency Permissions.

Monday Drops and creator data are confidential and for internal marketing use only.
Strictly Prohibited (Data Brokering): Reselling, sub-licensing, publishing, or distributing creator lists/contact data as a standalone product or lead list.
Permitted Agency Use (Managed Services): Marketing agencies may subscribe and use the Services to facilitate partnerships for managed clients. The agency assumes joint and several liability (guarantor role) for client compliance with agreed terms (default Protocol or custom). If a client breaches (e.g., non-payment), the agency is equally responsible.

SECTION 6 – ILYLM STANDARDIZED DEAL PROTOCOL (DEFAULT AGREEMENT)

This Protocol is the default binding agreement for any collaboration resulting from a Monday Drop. It applies automatically upon Brand/Agency contacting Creator unless both parties explicitly execute a separate written agreement modifying terms for that deal. This Protocol applies to both paid Matchmaker Members (Section 5B) and Free Tier subscribers (Section 5A) who initiate creator partnerships.

6.1 Default Rate Card.

A. Upfront Production Fee (paid directly to Creator before production for 3 variations):

(Platform-specific for single-platform deals; combined Instagram + TikTok for multi-platform. Verified via public profiles at agreement.)

B. Default Performance Royalties.

Flat $2.00 per 1,000 paid impressions/views (Meta impressions + TikTok paid views).
Paid directly by Brand/Agency to Creator by the 7th of the following month.

6.2 Default Deliverables. One core concept as minimum 3 high-quality vertical variations (9:16, 1080×1920 recommended):

Variation A: Main (full primary video).
Variation B: Hook Swap (different first 3–5 seconds).
Variation C: Format Swap (alternate ending/CTA/style).
Quality Requirements: Crisp audio (no noise/wind/echo), bright/even lighting (face visible), required disclosures/tags included, no watermarks/platform logos. Exported as high-quality MP4/MOV.

6.3 Default Usage Rights & Term.

6-Month Minimum Lock: Non-revocable by Creator for whitelisting ads except in cases of Brand/Agency breach. This term applies to the individual creator partnership agreement and is independent of any party's ILYLM membership subscription.
Rolling Evergreen: Agreement becomes rolling evergreen post-Month 6.
Termination: Creator may end with 30 days' written notice post-Month 6. Brand/Agency may pause anytime.
Asset-Only Model: Creators are not required to post content publicly or organically to their feeds.

6.4 Default Operational Rules.

Ads run exclusively as Partnership Ads (Meta) or Spark Ads (TikTok) through the creator's handle.
No password sharing—official tools only.
Transparency: Independent audit via platform dashboards.

6.5 Breach (Under Default Protocol). Non-payment entitles Creator to immediate access revocation.

SECTION 7 – PLATFORM ROLE & PROTECTIONS

7.1 Facilitation Only. ILYLM is not a party to agreements, does not handle payments, and is not an agent/fiduciary.

7.2 No Guarantees. No assurance of responses, deals, quality, performance, or payment compliance.

7.3 Disputes.

Full release of ILYLM (and officers/directors/employees) from claims arising from disputes.
We may voluntarily review reported breaches and ban users (courtesy only; no obligation/liability). Primary remedy: termination/ban of breaching party. We cannot compel payment.

7.4 Disclaimer of Warranties. "AS IS" without warranties.

7.5 Limitation of Liability. ILYLM and affiliates not liable for any damages arising from Services or interactions.

7.6 Indemnification. You indemnify ILYLM against claims from your breach or dealings.

SECTION 8 – INTELLECTUAL PROPERTY

ILYLM owns Site, Playbooks, Monday Drop format.
Creators own assets until agreed payment, then grant agreed license.

SECTION 9 – TERMINATION & MISCELLANEOUS

Termination/suspension for breach.
Surviving: Liability limits, indemnification, Protocol for ongoing deals.
Severability; entire agreement.
